Terms and Conditions

All sales are subject to, and expressly conditioned upon, these Terms and Conditions and the Customer’s assent thereto. These Terms and Conditions shall control, and any additional or inconsistent terms and conditions contained in any acknowledgment, purchase order, or other acceptance documents requested by or provided by the Customer are expressly rejected.

Before PMRJ (Pharmaceutical and Medical Device Regulatory Science Society of Japan) can accept a purchase order, the Customer must create an account. The account may be closed at PMRJ’s sole discretion. The Customer is responsible for ensuring that all information provided to PMRJ is accurate and complete and for promptly notifying PMRJ of any changes. PMRJ shall not be liable for any damage or loss caused, or alleged to have been caused, by inaccurate, incomplete, or outdated information provided by the Customer as part of the purchase process.

The submission of personal information through the PMRJ Reference Standards Online Store is governed by PMRJ’s Privacy Policy, which can be viewed here.

All Reference Standards are subject to availability. Certain Reference Standards may not be available depending on the destination country or region. PMRJ reserves the right to limit the quantities of any Reference Standards it offers.

Purchase orders may be placed electronically through the PMRJ Reference Standards Online Store. PMRJ does not accept purchase orders by telephone or facsimile. All purchase orders are subject to acceptance by PMRJ and shall be deemed accepted only upon issuance of an order confirmation e-mail by PMRJ.

Prices of all Reference Standards are offered on either a CPT (Incoterms® 2020) basis or an EXW (Incoterms® 2020) basis. The risk of loss shall pass to the Customer upon delivery of the Reference Standards to the carrier. The Customer shall be responsible for all customs duties, taxes, tariffs, and other charges imposed upon importation of the Reference Standards.

Prices and package sizes of Reference Standards are subject to change without notice. The latest prices are available on PMRJ’s website. PMRJ does not offer discounts.

All payments under these Terms and Conditions shall be made in Japanese yen within forty-five (45) days from the invoice date. PMRJ shall dispatch the Reference Standards only upon receipt of full payment.

The Customer shall be responsible for all applicable product charges, shipping charges, bank charges, and handling charges. Failure to make payment by the due date shall result in automatic cancellation of the order.

PMRJ accepts payment by bank transfer in Japanese yen. 

All sales of PMRJ products are final. PMRJ products may not be returned for exchange or refund. Any Customer who refuses delivery or fails to pay customs duties, taxes, or other charges associated with importation into the destination country shall remain financially responsible for the total cost of the PMRJ products shipped.

PMRJ reserves the right to modify the shipping method for any order as necessary to comply with the import requirements of the destination country. PMRJ does not ship Reference Standards to post office boxes.

By purchasing PMRJ products, the Customer agrees to comply with all applicable national and local laws, orders, rules, and regulations, including, without limitation, Japanese economic sanctions laws and controlled substances laws and regulations.

PMRJ products are subject to Japanese export control laws and regulations and may require an export license or an applicable license exception prior to export from Japan.

The Customer assumes all risk of theft, loss, or damage not caused by PMRJ with respect to any PMRJ products acquired under these Terms and Conditions. The Customer agrees to indemnify, defend, and hold harmless PMRJ, its officers, trustees, and employees from and against any and all losses, liabilities, claims, damages, or expenses (including reasonable attorneys’ fees) arising out of or related to the Customer’s use of the Reference Standards, including, without limitation, claims for bodily injury (including death) or property damage, except to the extent caused by PMRJ’s negligent or intentional acts or omissions.

Reference Standards shall be used solely for the tests and assays prescribed in the monographs of the Japanese Pharmacopoeia and other official compendia for pharmaceuticals, excipients, and food additives. Reference Standards are analytical reagents and shall not be used for diagnostic or therapeutic purposes or administered to humans or animals.

The Customer shall use and store the Reference Standards in accordance with the instructions provided in the accompanying leaflet. PMRJ warrants only that the Reference Standards were fit for use at the time they were delivered to the carrier, together with such packaging, delivery instructions, or other materials as the Customer may reasonably expect.

These Terms and Conditions shall be governed by and construed in accordance with the laws of Japan. In any litigation or other proceeding initiated by PMRJ to enforce or defend its rights under these Terms and Conditions, the Customer agrees to reimburse PMRJ for all costs and expenses incurred, including reasonable attorneys’ fees.

PMRJ shall not be liable for any delay or failure in delivery resulting from events beyond its reasonable control, including, but not limited to, acts of God, civil disturbances, or shortages or unavailability of materials.

If any provision of these Terms and Conditions is held to be unlawful, void, or unenforceable, such provision shall be severed and shall not affect the validity or enforceability of the remaining provisions.

Entire Agreement   

Nothing contained in any purchase order or other document issued by the Customer shall modify or supplement these Terms and Conditions. All orders placed by the Customer shall be governed exclusively by these Terms and Conditions.

These Terms and Conditions constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior agreements, negotiations, representations, and understandings. No waiver, amendment, or modification of these Terms and Conditions shall be effective unless made in writing and signed by a duly authorized representative of each party.
